Our SEO service agreement in plain English
Before you sign anything, here is what our contract says, section by section, without the legal padding. The binding version is our terms of service. Effective 24 March 2024. Last updated 1 October 2026.
1. Who the agreement is between#
ZF Ventures LLC, a Delaware limited liability company trading as SmartEcomSEO, and your business, named on the order form.
2. What we do#
We provide the Shopify SEO services listed for your plan on the pricing page and your order form: keyword research, articles, collection pages, technical fixes, schema, internal links, content optimization and a monthly report. Link building and digital PR are only included if they are listed on your order.
3. How long it lasts#
Month-to-month. The agreement renews each billing period until either side cancels. There is no minimum term and no lock-in.
4. Fees and billing#
You pay the monthly fee for your plan, by card, through a Stripe subscription, in advance at the start of each billing period. Taxes, where they apply, are added on top. Extra services such as link building are quoted and billed separately. Details are in the payments policy.
5. Cancelling#
Cancel before your next billing date, from the Stripe customer portal or by emailing hello@smartecomseo.com, and you won't be charged again. We finish the work already paid for in the current period. Monthly fees for a billing period that has started are not refunded; see our payments policy
6. What we need from you#
A Shopify staff account and Google Search Console access, answers to questions about your products within a reasonable time, and a named person who can approve content if you want approval.
7. Who owns the work#
Content, collection pages, schema and other deliverables we create for your store belong to you once the period they were delivered in has been paid. Our internal tools, templates and methods stay ours.
8. What we never promise#
Nobody controls Google or AI assistants. We don't guarantee specific rankings, traffic or revenue. We do commit to delivering the work in your plan and reporting on it honestly every month.
9. Confidentiality#
We keep your sales data, product plans and account access private and only use them to deliver the service. You keep our pricing and internal processes private too.
10. Liability#
Each side's liability is limited to [LIABILITY CAP: e.g. the fees paid in the previous 3 months], except where the law does not allow a limit.
11. Law and disputes#
The agreement is governed by the laws of the State of Delaware, USA. Disputes go first to good-faith discussion, then to the state or federal courts located in Delaware.
